About Elite Personal Chefs

EPC, Inc (www.elitepersonalchefs.com and www.epcpros.org) is a fast growing, multifaceted online marketplace and booking portal, focused on high quality services and client experiences.

We are seeking talented and experienced Professional Contractors to help the company grow and be responsible for all client work, development, procurement and production of all projects within our organization in the Pro's Region.

Responsibilities include but are not limited to overseeing projects and logistics operations, managing an efficient staff, managing inventory of products and studio supplies, delivery scheduling, ordering, developing standardized SOPs, and implementing policies and procedures. The utmost importance for the Pro must be placed upon the ability to creatively solve problems in a fluid environment. The right candidate will share our passion for high quality service and client experiences.

Independent Contractor Classification

You are entering into a Principal-Agent relationship with Austin Yancey, CEO & Founder of Elite Personal Chefs, Inc (dba "EPC", "Elite Personal Chefs", and "EPCPros.org") as a 1099 Independent Contracted Employee.

The Internal Revenue Service defines an independent contractor as a person that provides services to another entity under terms specified in a contract or within a verbal agreement. Unlike an employee, an independent contractor does not work regularly for an employer but works as and/or when requested.

As an Independent Contractor for EPC, you will be paid on a freelance commission or project fee basis. EPC will not manage, schedule, or require any specific hours of work. Nor will EPC be responsible for when or where the contracted individual does the work. EPC will not provide any office equipment. The employee must provide his/her own computer with access to the Internet, a telephone, work email address, business cards, marketing material, uniforms, along with personal equipment needed to satisfy your client, etc.

Important Notice: No Benefits Provided

THIS IS AN AGREEMENT FOR INDEPENDENT CONTRACTING SERVICES.

The Contracting Party (Elite Personal Chefs) provides NO BENEFITS such as unemployment insurance, health insurance, or worker's compensation insurance to Independent Contractors.

The Contracting Party is only interested in the results obtained by the Independent Contractor. Independent Contractor shall be responsible for providing all tools and materials required for performance of the tasks agreed to.

Insurance Requirements

Independent Contractors are NOT covered under Elite Personal Chefs' Liability Insurance or Workers' Compensation Insurance.

EPC highly recommends that all Professional Contractors carry both:

  • General Liability Insurance - Protects you against claims of bodily injury or property damage
  • Workers' Compensation Insurance - Covers medical expenses and lost wages if you are injured while working

Maintaining proper insurance coverage protects both you and your clients, and is a requirement for Elite Chef Level designation.

EPC also highly recommends that all professional contractors have their own LLC to protect themselves and their personal assets.

Tax Responsibilities

Independent Contractors are responsible for complying with any and all local, state, and federal tax laws.

The earnings of a person who is working as an independent contractor are subject to Self-Employment Tax. Self-employed individuals must pay self-employment tax (SE tax) as well as income tax. SE tax is a Social Security and Medicare tax primarily for individuals who work for themselves. It is similar to the Social Security and Medicare taxes withheld from the pay of most wage earners.

In general, anytime the wording "self-employment tax" is used, it only refers to Social Security and Medicare taxes and not any other tax (like income tax).

Compensation Package

Partner Chef Level

95%-82% of Event Top Line Revenue (5%-18% Commission to Elite Personal Chefs)

Potential Vested Options & Profit Share Opportunity - 5 Year Total Vest with 5-Year Cliff

Elite Chef Designation Requirements

To be considered an Elite Level Chef in Good Standing, a Chef de Cuisine must have:

  • Acknowledgement of this Contract with Waiver of Liability
  • Current Sanitation Manager's Certificate (90 day grace period)
  • Complete Background Check (90 day grace period)
  • Minimum monthly revenue contribution - $3,000 (3 month average)
  • Minimum annual revenue contribution - $36,000 (12 month average)
  • Minimum annual commission contribution - $5,250 (12 month average)
  • Current compliance with the requirements detailed in the EPC Non-Compete Agreement

EPC recommends Up to Date General Liability Insurance Policy, current LLC, Current Sanitation Managers License, and current Catering License (or similar).

Commission Structure (Calculated Annually)

Annual Revenue Minimum Commission
$1 - $250,000 18% and/or $5,250 annual contribution, no maximum
$250,001 - $500,000 10% and/or $5,250 annual contribution, no maximum
$500,001+ 5% and/or $5,250 annual contribution, no maximum

Internal Sales

Our sales team is available to assist in client reach outs, vetting, negotiating, sending quotes, service agreements, and invoicing.

  • All sales handled by EPC internal sales associate carry 5% commission additional to the 18%
  • All sales handled by EPC Chefs independently carry no extra commission

Options & Profit Share Structure

Full Vesting: 100% at 5 years from Official Start Date

Vesting Requirements

To maintain vesting eligibility, you must maintain Active Status each year:

  • Active Status = At least one contribution in each calendar year
  • Minimum Annual Contribution = $5,000 per year

Vesting progress is paused during any year you do not meet Active Status requirements.

Profit Sharing & Acquisition Requirements

Fully Vested Pros in Good Standing are entitled to (including but not limited to) Profit Shares, Dividends, Acquisition Payments, etc. Any dividend or payment amount received will be calculated based on the Pro's financial contributions to date, compared to all other Pros within the company.

If the Professional Contractor discontinues work with Elite Personal Chefs for any reason, the current vested profit share percentages are forfeited effective immediately.

Agreement Acknowledgment

IN WITNESS WHEREOF, the parties hereto acknowledge, understand, and agree to this agreement. The parties understand and intend to be bound by all of the clauses contained in this document and further certify that they have received signed copies of this agreement.

By accepting this agreement, you acknowledge that you have read, understood, and agree to all terms contained herein.
